To amend your North Carolina articles of incorporation, you just need to submit form B-02, Articles of Amendment, Business Corporation to the North Carolina Secretary of State, Corporations Division (SOS) by mail, in person, or online. A Coversheet for Corporate Filings is required for over the counter filings. You should always include one though, because this is how you can choose expedited processing and your method of return. North Carolina corporate amendment forms are in your online account when you sign up for registered agent service with Northwest. Forms are also available on the North Carolina SOS website (see link below). You do not have to file the SOS amendment form. You are allowed to draft your own articles of amendment. You do not need to have original signatures on the articles of amendment. Include payment when you mail or walk in your documents. The SOS accepts cash, certified checks, money orders, business or personal checks with address and telephone number. Please make checks payable to the North Carolina Secretary of State. The SOS does accept credit cards for online filings.
Yes. You can just file form B-03, Articles of Restatement for Business Corporation with the North Carolina SOS. If there is a new amendment included, it has to have the required approval. The filing fee for restated articles is only $10, but if the restatement includes a new amendment, the fee is $50.

The Secretary of State will e-mail a certified copy as soon as the document is filed if you provided an e-mail address on the coversheet. If you did not provide an e-mail address, the certified copy will be sent by regular mail.
